Facets.cloud, Inc. ("we," "us," "Facets") provides Praxis, an AI-powered DevOps orchestration platform that enables infrastructure teams to manage their cloud environments, Kubernetes clusters, Terraform configurations, CI/CD pipelines, and other DevOps tools through natural language interactions.
Praxis uses advanced AI models to understand your requests, generate infrastructure code, troubleshoot issues, and execute actions across your DevOps stack. The platform includes features such as custom agent creation, secure credential management, MCP (Model Context Protocol) integrations, and collaborative chat sessions.

2. Account Creation & Access
Eligibility
You must be at least 18 years old or have reached the minimum age of digital consent in your jurisdiction to create a Praxis account.
Account Registration
When creating an account, you must:
- Provide accurate, complete, and current information
- Maintain and promptly update your account information
- Protect your account credentials and not share them with others
- Immediately notify us of any unauthorized access
Business Email Accounts
If you register using an email address owned by your employer, your account may be linked to an enterprise account managed by that organization with monitoring capabilities.
Account Responsibility
You are responsible for all activities under your account, including infrastructure actions taken by AI agents using your credentials.
3. Use of Praxis Services
Permitted Use
You may use Praxis for legitimate DevOps purposes:
- Infrastructure automation and orchestration
- Kubernetes cluster management
- Terraform configuration generation
- CI/CD pipeline optimization
- Creating custom agents for recurring tasks
- Secure credential storage
- Team collaboration through shared sessions
Prohibited Use
- Violating laws or third-party rights
- Reverse engineering or extracting source code
- Developing competing products
- Automated access except via official APIs
- Unauthorized security testing
- Blindly executing AI commands in production
- Storing credentials outside encrypted vault
- Reselling or redistributing access

Never blindly execute AI-generated infrastructure commands in production. Always review Terraform plans, Kubernetes manifests, and configurations. Test in development first.
4. Chat Inputs, AI Outputs & Infrastructure Actions
Definitions
- Inputs: Your chat messages, commands, and configurations
- Outputs: AI-generated responses and code
- Actions: Infrastructure operations like K8s commands, Terraform applies
Output Accuracy Disclaimer

AI outputs may be inaccurate, incomplete, or inappropriate despite appearing confident. They may:
- Contain syntax errors or logical flaws
- Recommend incompatible configurations
- Violate best practices or security requirements
- Generate commands causing downtime or data loss
Always validate and test before implementation.
Intellectual Property: Inputs and Outputs
You retain ownership of all Inputs, including prompts, configurations, logs, code, and infrastructure definitions you submit to Praxis.
You also retain ownership of Outputs, including AI-generated Terraform files, Kubernetes manifests, scripts, or any other generated artifacts, subject to applicable third-party rights.
You grant Facets.cloud a limited, non-exclusive license to process Inputs and Outputs solely for:
- Delivering and maintaining the Service
- Security monitoring and abuse prevention
- Improving model performance (if you have not opted out)
Facets.cloud does not claim ownership over your infrastructure configurations, logs, or generated code.
Data Usage
Chat sessions may improve AI models (opt-out available). Infrastructure credentials are never used for training and never exposed to AI models.
5. Custom Agents, MCPs & Integrations
Custom Agents
You retain ownership of agent configurations you create. Facets.cloud retains rights to the underlying platform.
MCP Servers
Third-party MCP servers are:
- Not developed or endorsed by Facets.cloud
- Subject to their own terms and licenses
- Not covered by Praxis warranties
- Your responsibility to evaluate for security

- Price Changes: 30-day notice before increases
Special Refund Rights
Residents of Brazil, Mexico, South Korea, and Taiwan: 7-day cancellation right with full refund per local consumer protection laws.
7. Infrastructure Credentials & Security
Credential Vault
- AES-256 Encryption: All credentials encrypted at rest and in transit
- Never Exposed to AI: Credentials never accessible by AI models
- Isolated Storage: Separate from chat data
- User Control: You manage lifecycle and access

8. Disclaimer of Warranties & Limitation of Liability

Limitation of Liability

Maximum aggregate liability is the greater of:
- (a) Fees paid in preceding 6 months, OR
- (b) $100 USD
NOT LIABLE FOR: Infrastructure outages, data loss, security breaches from AI recommendations, cloud provider costs, indirect/consequential damages.
Indemnification
You indemnify Facets.cloud for claims from: infrastructure damage, violations of terms, unauthorized credential access, custom agent issues, third-party violations.
9. Governing Law & Dispute Resolution
Governing Law: Delaware state law, United States
Exclusive Jurisdiction: Federal or state courts in Delaware
Export Restrictions & Sanctions Compliance
You may not use Praxis if you are:
- Located in, ordinarily resident in, or a government or entity incorporated under the laws of any country or region embargoed or otherwise restricted by the United States, including Cuba, Iran, North Korea, Syria, the Crimea region of Ukraine, the Donetsk People's Republic (DPR), or the Luhansk People's Republic (LPR)
- Listed on any U.S. government denied-party or sanctions list (including OFAC's SDN List, the U.S. Commerce Department's Entity List, or the Unverified List)
You agree not to export or re-export the Praxis Platform, AI models, data, or technical information in violation of U.S. export control or sanctions laws.
10. Privacy & Data Protection
Collection and use of personal information governed by our separate Privacy Policy.
Infrastructure Credential Protection
- AES-256 encryption
- Never used for AI training
- Never exposed to AI systems
- Isolated secure storage

11. DMCA / Copyright Takedown Policy
If you believe that your copyrighted work has been posted or shared on our platform without authorization, you may submit a DMCA Takedown Notice to our designated agent at legal@facets.cloud.
Your Notice Must Include
- A description of the copyrighted work claimed to be infringed
- The URL(s) or other precise location(s) on the site that allegedly infringe your copyright
- Your contact information (name, address, phone, email)
- A statement that you have a good-faith belief the use is unauthorized
- A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner
- Your physical or electronic signature
Our Response Process
- Upon receipt of a valid notice, we will remove or disable access to the infringing material
- We will notify the user who posted the content
- The user may submit a counter-notice if they believe the takedown was mistaken
- We will restore the content if a valid counter-notice is received and no lawsuit is filed within statutory deadlines
Transparency
We aim for transparency. All takedown and counter-notice requests—redacted to protect personal data—will be added to a public archive.
